Terms of Service

Effective Date: March 2026

1. Agreement to Terms

Welcome to Scoutly. By accessing or using the Scoutly mobile applications (iOS and Android), website, or any related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and our Safety Guidelines. If you do not agree to these Terms, you must not access or use the Platform.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. By creating an account, you represent and warrant that you meet these requirements.

2. Description of Service

Scoutly is a two-sided marketplace that connects individuals seeking services (“Buyers”) with service professionals (“Scouts”) across 14 industries in Canada and the United States. Our supported industries include Real Estate, Automotive, Home Services, Financial Services, Legal, Health & Wellness, Technology, Education & Tutoring, Events & Entertainment, Beauty & Personal Care, Pet Services, Marketing & Creative, Consulting, and Other.

Scoutly is a platform, not a service provider. We facilitate introductions and provide tools for Scouts to showcase their services, but we do not participate in, control, or guarantee any transactions, agreements, or services that occur between Buyers and Scouts.

3. Account Registration

To use the Platform, you must create an account and agree to:

  • Provide accurate, current, and complete information during registration
  • Complete email and phone verification as required
  • Maintain only one account per person — duplicate accounts may be terminated
  • Keep your login credentials confidential and secure
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You are solely responsible for maintaining the security of your account. Scoutly is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Scout Accounts

If you register as a Scout, you accept the following additional obligations:

  • Business Information Accuracy — All business information, including your company name, description, and industry, must be truthful and current
  • Industry Selection — You must select the industry that most accurately represents your services from our 14 supported categories
  • Showcase Content Standards — All showcase content must accurately describe the services you offer and must not contain misleading or deceptive claims
  • Profile Completeness — You should maintain a complete and professional profile to build trust with potential buyers
  • Social Link Verification — You are responsible for ensuring that any social media links (LinkedIn, Instagram, TikTok, website) you provide are accurate and lead to legitimate profiles owned by you or your business

5. Showcases

5.1 What Are Showcases

Showcases are service-based listings created by Scouts to describe their offerings, expertise, and value proposition. Showcases are text-based descriptions and do not currently support image uploads.

5.2 Content Rules

Showcase content must:

  • Accurately describe the services offered
  • Not contain false, misleading, or deceptive claims
  • Not include prohibited content (see Section 10)
  • Comply with all applicable laws and regulations

5.3 Algorithm Ranking

Showcases are ranked based on engagement metrics including views, favourites, and replies. These metrics are tracked to surface the most relevant and popular content to users. Scoutly reserves the right to modify ranking algorithms at any time.

5.4 Prohibited Showcase Content

  • Illegal services or activities
  • Misleading pricing or service claims
  • Spam or duplicate listings
  • Content that infringes on intellectual property rights
  • Discriminatory or offensive material

6. Subscription Plans & Pricing

Scoutly offers subscription plans for Scouts (Pro, Elite, and Max tiers) with pricing available in both Canadian Dollars (CAD) and US Dollars (USD).

  • Billing Cycles — Subscriptions are billed monthly or annually, depending on the plan selected
  • Auto-Renewal — All subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
  • Payment Methods — Subscriptions are processed through trusted third-party payment processors on web and mobile
  • Promotional Codes — Promo codes may be offered from time to time and are subject to their own terms and conditions

Scoutly reserves the right to change subscription pricing with 30 days’ notice. Price changes will not affect active billing periods.

7. Showcase Boosts

Showcase Boosts are one-time purchases that increase the visibility of a Scout’s showcase for a specified duration (24 hours, 7 days, or 30 days).

  • Boost pricing is displayed at the time of purchase in CAD or USD
  • Boosts are activated immediately upon purchase
  • Boosts are non-refundable once activated
  • Boost effects are applied to the showcase’s ranking within the algorithm

8. Payments & Refunds

8.1 Billing

All subscription and boost payments are processed through trusted third-party payment processors. By subscribing or making a purchase, you agree to the payment terms of the applicable payment processor.

8.2 Refund Policy

All subscription fees are non-refundable. Scoutly subscriptions provide access to leads, connections, and marketplace features whose value is realized upon access. Because you cannot put a price on the access to potential leads and business opportunities, no refunds will be issued for subscription fees, whether for partial or full billing periods.

  • Subscriptions — Non-refundable. You may cancel at any time, but no refund will be issued for the current or remaining billing period
  • Boosts — Non-refundable once activated

8.3 Failed Payments

If a payment fails, we may retry the charge, suspend your subscription, or restrict access to paid features until payment is successfully processed.

8.4 Currency

Prices are displayed and charged in the currency applicable to your region (CAD for Canadian users, USD for US users).

9. Intellectual Property

9.1 Scoutly’s Intellectual Property

The Platform, including its design, features, branding, logos, ranking algorithms, and all related technology, is owned by Scoutly and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written permission.

9.2 User Content

You retain ownership of the content you create on the Platform (profiles, showcases, reviews, messages). By posting content on the Platform, you grant Scoutly a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform.

10. User Content & Conduct

You agree not to use the Platform to:

  • Post spam, unsolicited messages, or duplicate content
  • Create fake accounts or impersonate others
  • Post fake or paid reviews
  • Create misleading showcases or profiles
  • Harass, threaten, or discriminate against other users
  • Advertise illegal services or activities
  • Scrape, data-mine, or use automated tools to access the Platform
  • Attempt to circumvent security features or manipulate the ranking algorithm
  • Share other users’ personal information without consent
  • Engage in any activity that violates applicable laws or regulations

You are solely responsible for the accuracy and legality of the content you post on the Platform. Scoutly reserves the right to remove any content that violates these Terms.

11. Reviews & Ratings

  • Reviews must be honest and based on genuine experiences
  • Fake, paid, or incentivized reviews are strictly prohibited
  • Scoutly reserves the right to investigate and remove reviews that appear fraudulent or that violate our guidelines
  • Ratings and reviews affect a Scout’s visibility in the algorithm ranking
  • Scouts may not retaliate against users who leave negative reviews

12. Verification & Trust

IMPORTANT — PLEASE READ CAREFULLY:

Scoutly currently verifies users through email and phone verification only. This means:

  • Scoutly does NOT verify scout identity documents or government-issued ID
  • Scoutly does NOT verify scout credentials, licenses, or professional certifications
  • Scoutly does NOT verify a scout’s ability to deliver the services they advertise
  • Scoutly does NOT verify business registrations, insurance, or bonding
  • Scoutly does NOT conduct background checks on scouts

Users must conduct their own due diligence before engaging with any Scout. We recommend choosing scouts with consistent reviews, complete profiles, verified social links, and established business history.

Enhanced identity verification features are planned for future releases but are not currently available.

13. Limitation of Liability

THIS IS A CRITICAL SECTION — PLEASE READ CAREFULLY.

SCOUTLY IS A PLATFORM AND MARKETPLACE ONLY. SCOUTLY IS NOT A PARTY TO ANY TRANSACTION BETWEEN BUYERS AND SCOUTS.

  • Scoutly makes NO guarantees about scout quality, service delivery, or legitimacy
  • Users engage with Scouts at their own risk
  • Scoutly is not responsible for failed transactions, unsatisfactory services, scout misrepresentation, or financial losses arising from user decisions

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUTLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM: YOUR USE OF OR INABILITY TO USE THE PLATFORM; ANY CONDUCT, CONTENT, OR SERVICES OF SCOUTS OR OTHER USERS; ANY TRANSACTIONS OR INTERACTIONS OCCURRING ON OR OFF THE PLATFORM; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR ANY OTHER MATTER RELATING TO THE PLATFORM.

Scoutly’s total aggregate liability to you for all claims arising out of or relating to the Platform shall not exceed the total amount of fees you have paid to Scoutly in the twelve (12) months immediately preceding the event giving rise to the claim.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SCOUTLY DOES NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY INFORMATION PROVIDED BY SCOUTS IS ACCURATE, RELIABLE, OR COMPLETE; (D) THE QUALITY OF ANY SERVICES OBTAINED THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS.

15. Indemnification

You agree to defend, indemnify, and hold harmless Scoutly, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use or misuse of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you post or submit on the Platform
  • Any transactions or interactions with other users, whether on or off the Platform
  • Your negligence or willful misconduct

16. Dispute Resolution

16.1 Disputes Between Users

Scoutly is not responsible for resolving disputes between Buyers and Scouts. Users should attempt to resolve disputes directly. Scoutly may, at its sole discretion, offer mediation or assistance but is under no obligation to do so.

16.2 Disputes with Scoutly

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration:

  • Canada — In accordance with the applicable provincial arbitration act, with arbitration seated in Ontario
  • United States — In accordance with the Federal Arbitration Act, with arbitration seated in Delaware

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

17. Termination

17.1 By Scoutly

Scoutly reserves the right to suspend or terminate your account at any time, with or without cause, with or without notice, including but not limited to violation of these Terms, fraudulent activity, or behavior harmful to other users or the Platform.

17.2 By You

You may delete your account at any time through the Platform settings. Account deletion is processed in accordance with our Privacy Policy.

17.3 Effect on Subscriptions

If your account is terminated by Scoutly for cause, no refund will be issued. If you voluntarily delete your account, no refund will be issued for the current or remaining billing period, as all subscription fees are non-refundable (see Section 8).

18. Governing Law

  • Canadian Users — These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You consent to the exclusive jurisdiction of the courts of Ontario.
  • U.S. Users — These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. You consent to the exclusive jurisdiction of the courts of Delaware.

19. Force Majeure

Neither Scoutly nor you shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to: natural disasters, acts of government, pandemics, internet or telecommunications failures, cyberattacks, or other force majeure events.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms of Service, together with our Privacy Policy and Safety Guidelines, constitute the entire agreement between you and Scoutly regarding your use of the Platform. These Terms supersede all prior agreements, representations, and understandings between you and Scoutly.

22. Changes to Terms

Scoutly reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days’ notice via email or in-app notification before the changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform and delete your account.
